NEW YORK, October 28, 2011 International law firm Milbank, Tweed, Hadley & McCloy, LLP, led by Global Securities partners Douglas A. Tanner and Paul Denaro, acted as US counsel to the underwriters in a $479 million public offering of limited partnership units by Brookfield Infrastructure Partners L.P. ("BIP"). The public offering was conducted in the United States and Canada pursuant to concurrent registrations with the U.S. Securities and Exchange Commission, and the securities regulatory authorities in each of the provinces and territories in Canada. BIP sold 19,370,025 limited partnership units at $24.75 per unit. The offering, together with a concurrent private placement of redeemable partnership units to Brookfield Asset Management Inc., an affiliate of BIP, raised gross proceeds of approximately $588 million. Due to strong investor demand, the public offering was upsized shortly after launch and the underwriters exercised their over-allotment option in full. "The public offering will provide Brookfield Infrastructure Partners with additional liquidity to fund its growth strategy and other organic growth initiatives," said Mr. Tanner.
